Přičitatelnost jednání státního podniku státu

Shrnutí:

Předmětem pozornosti článku je jednání státního podniku a vztah státního podniku ke státu. Stát je sice zakladatelem státního podniku, státní podnik je však samostatnou právnickou osobou. Je tedy otázkou, zda, příp. za jakých okolností, je možno přičítat jednání státního podniku státu. Článek se ve své první části věnuje postavení státního podniku v českém právním řádu a oprávněním státu zasahovat do jeho jednání. Další část je věnována pohledu na problematiku z hlediska domácí judikatury. Konečně je pojednáno o postavení subjektů s pozicí státního podniku podle práva EU a mezinárodního práva veřejného. V otázce přičitatelnosti jednání státního podniku státu je nutno dojít k závěru, že rozhodující je vždy konkrétní činnost, kterou státní podnik vyvíjí. V soukromoprávních vztazích jeho aktivita přičitatelná státu není, pokud by však státní podnik jednal jako veřejná instituce, lze jeho jednání státu přičítat.

Attribution of the state entreprises act to the state

Summary:

The article analyses the activity of a state enterprise and its relationship to the state. The state is a founder of the state enterprise; however, the state enterprise is an independent legal entity. Thus, the issue is whether, eventually under what circumstances, it is possible to attribute the act of a state enterprise to the state. In its first part, the article concerns a legal standing of the state enterprise in the Czech legislation and a right of the state to interfere into state enterprise’s activities. The next part deals with the problem resolution with reference to the domestic case law. Last but not least, the status matter of legal entities equivalent to the state enterprise is discussed in light of the EU and public international law. The problem of attribution of the state enterprise’s act to the state should be solved on a case-by-case basis. In private law relations the state enterprise’s activity is not imputable to the state. On the contrary, state enterprise’s acts shall be considered an act of the state if the state enterprise exercises elements of the governmental authority in the particular instance.
